TERMS OF SERVICE
Last Updated: (09/25/2026)
1. Agreement to Terms
By accessing or using the website gowdow.com (the “Site”) or engaging Gowdow LLC (“Gowdow,” “we,” “us,” or “our”) for any services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service. If you do not agree, do not use our Site or services.
2. Services
Gowdow provides digital marketing and e-commerce services including but not limited to: Etsy shop setup and optimization, Facebook and Meta advertising management, website design and development, search engine optimization (SEO), email marketing, social media management, brand identity design, and e-commerce consulting. The specific scope of services for each engagement will be outlined in a separate proposal or service agreement.
3. Client Responsibilities
You agree to: Provide accurate and complete information necessary for us to perform the services · Provide timely feedback and approvals to avoid project delays · Grant necessary access to accounts, platforms, and tools required for service delivery (Etsy, Facebook Ads Manager, website hosting, analytics, etc.) · Comply with all applicable laws and platform terms of service · Pay all fees as outlined in the agreed proposal or invoice
4. Payments and Billing
Project Work: One-time projects (website builds, audits, shop setups) are billed as outlined in the proposal — typically 50% upfront and 50% upon completion, or in milestones for larger projects.
Monthly Services: Recurring services (SEO, ads management, Etsy management) are billed monthly in advance. Payment is due on the date specified in your invoice.
Late Payments: Invoices unpaid after 15 days will incur a late fee of 1.5% per month on the outstanding balance. Services may be paused until payment is received.
Ad Spend: Advertising spend (Facebook, Etsy Ads, Google Ads) is paid directly by the Client to the platform. Gowdow does not collect or manage ad spend funds.
Refunds: Due to the nature of digital services, completed work is non-refundable. If we have not yet begun work on a project, a full refund will be issued upon cancellation.
5. Cancellation and Termination
Monthly Services: Either party may cancel monthly services with 30 days written notice. Work in progress at the time of cancellation will be completed and delivered.
Project Work: If you cancel a project after work has begun, payment is due for all completed work up to the cancellation date.
Termination for Cause: We reserve the right to terminate services immediately if the Client engages in abusive behavior, fraudulent activity, or violates these Terms.
6. Intellectual Property
Client Content: You retain ownership of all content, images, product descriptions, and materials you provide to us.
Deliverables: Upon full payment, you own all deliverables created by Gowdow for your engagement — including website designs, ad creatives, listing copy, and other custom work.
Gowdow Tools and Methods: Our proprietary processes, templates, frameworks, and tools remain the intellectual property of Gowdow LLC. You are granted a license to use the deliverables, not our underlying systems.
Portfolio Rights: Unless otherwise agreed in writing, Gowdow reserves the right to display completed work in our portfolio and marketing materials.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement, including business data, account credentials, strategies, and financial information. This obligation survives the termination of the engagement.
8. Limitation of Liability
Gowdow provides services on a best-effort basis. We do not guarantee specific results, including but not limited to: specific sales volumes, rankings, traffic levels, or return on ad spend. Digital marketing results depend on numerous factors beyond our control.
To the maximum extent permitted by law, Gowdow’s total liability for any claim arising from our services shall not exceed the total fees paid by the Client in the three (3) months preceding the claim.
Gowdow is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.
9. Indemnification
You agree to indemnify and hold harmless Gowdow LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses arising from: Your use of our services · Content you provide for use in marketing or on your website · Your violation of any third-party rights or platform terms of service · Your violation of these Terms
10. Third-Party Platforms
Our services involve third-party platforms (Etsy, Meta, Google, Shopify, etc.). We are not responsible for changes to their algorithms, policies, fees, or terms of service that may affect your results. We will adapt strategies as needed but cannot control or guarantee platform behavior.
11. Dispute Resolution
Any disputes arising from these Terms or our services will first be addressed through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in New York, NY. These Terms are governed by the laws of the State of New York.
12. Modifications
We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of our Site or services after changes constitutes acceptance.
